With our first product now approved in the US, Adaptimmmune is seeking a senior lawyer within the legal team with primary responsibility for all corporate legal activities for the Adaptimmune group of companies.
Reporting into General Counsel, lawyer will interact with Executive Team, finance team, corporate compliance, investor relations and other functions as needed. The role includes drafting of all required SEC documentation including 10-K, 10-Q, negotiation of any agreements for corporate services, advising on responsibilities of corporate officers, preparing Board documentation and ensuring applicable corporate law/company secretarial requirements are met for the global business. The role will be integral in ensuring that Adaptimmune continues to comply with laws and regulations on a global basis.
Key Responsibilities
- Responsibility for compliance with all corporate legal requirements across business (US and UK) including involvement in strategic decisions where required
- Drafting and filing of SEC statements, corporate press releases and working cross-functionally to engage appropriate internal stakeholders
- Responsible for ensuring compliance with legal requirements including SEC disclosure requirements and working closely with corporate compliance team
- Negotiation a wide variety of contracts as needed, including engaging as a business partner with different functional areas of the business
- Providing company secretarial services for business including in relation to company filings, share plans, board meetings, board sub-committee meetings (Note: will be subject to transition of activities from existing UK company secretarial team)
- Advising officers and management as needed to ensure compliance with legal requirements and corporate responsibilities
- Partner with other functional teams, for example HR, corporate compliance, IT to facilitate compliance with legal requirements
- Negotiate and maintain lease documentation for business
- Develop and maintain company policies including 401(k), company legal and disclosure policies
- Manage the EH&S team at Adaptimmune (US and UK)
- Liaising with external corporate legal advisors as needed
Proven ability within in-house legal teams preferred but relevant law firm experience also acceptable
Qualifications:
- Must be a licensed attorney
- Excellent academic results
- 8yrs+ experience desirable, at least some within an in-house legal team
- Must have experience within or working with a NASDAQ listed company
Desirable
- Previous experience in the biopharmaceutical or life sciences industry
- Previous senior in-house role including experience in growing legal teams
- Multi-jurisdictional experience and knowledge, particularly in EU and UK
