The Role:
We are looking for a Corporate Attorney to join the Clear Street Legal team. As part of this team, you will support the Chief Legal Officer as the firm grows and moves into new locations, businesses and opportunities. The scope of the role is wide and the ideal person will have strong corporate experience (e.g., understands corporate structures and capitalization tables) with a willingness to learn and solve practical problems. We are looking for an individual who is smart and able to immerse themselves into an unknown area and quickly get up to speed through various channels, including by drawing upon their previous experiences. We are a relatively small team so there will be opportunities to be a part of other work streams. Looking beyond the details, we are looking for a candidate who has strong corporate experience and who is willing and able to broaden their skillsets.
Responsibilities:
- Draft, review and negotiate legal documents.
- Partner with the Chief Legal Officer to provide legal advice and support across different corporate strategies, including acquisitions, entry into new markets and the firm’s transactions with investors.
- Regularly updating the cap table to reflect changes in ownership and related consideration of consents and notices required for changes to cap table.
- Advising the Board of Directors on matters related to corporate governance practices.
- Analysis of applicable securities laws and regulations.
- Overseeing the entire process of establishing a new legal entity and ultimately ensuring the new entity is legally sound and aligned with the company's business objectives.
Skills / Experience
- At least three (3) years of corporate legal experience either for a law firm and/or within an in-house legal department.
- J.D. degree from an accredited law school.
- Extensive experience with venture capital, private equity transactions, securities laws and/or mergers and acquisitions.
- Experience working with a company’s cap table (whether maintaining a cap table or reviewing a cap table in the context of a deal).
- Excellent collaboration skills working with other team members - e.g., legal team, outside counsel, other departments within the company as well as the C-suite.
- Ability to control a high volume and complex workload by prioritizing workflow and managing multiple schedules; ability to meet deadlines and work effectively in a fast-paced environment with multiple demands.
- A self-starter with the ability to work collaboratively and develop strong relationships with clients, outside counsel, and employees.
- Keen attention to detail and strong proofreading and organizational skills.
- Excellent interpersonal and communication (oral and written) skills.
- Solid computer skills, including proficiency in GSuite, Word, Excel, and PowerPoint; willingness to adapt to, and master, changing technology.
We Offer:
The Base Salary Range for this role is $180,000 - $225,000. This range is representative of the starting base salaries for this role at Clear Street. Where a candidate falls in this range will be based on job related factors such as relevant experience, skills, and location. This range represents Base Salary only, which is just one element of Clear Street's total compensation. The range stated does not include other factors of total compensation such as bonuses or equity.
