DESCRIPTION:
Duties: Provide high-caliber line of business (LOB) legal support for the growth equity business and other alternatives businesses in the United States and Europe, including the Growth Equity Partners group. Provide legal support and advice across private funds, segregated account mandates, funds-of-one, carried interest vehicles, and other products that relate to the relevant asset classes. Advise the businesses on a wide range of legal issues relevant to the formation and maintenance of fund products, including negotiation of side letters, legal and regulatory matters as they relate to funds and separately- managed accounts, as well as transactional work for such products. Work closely with other members of the Legal Department and other control functions (e.g., Compliance and Risk) both within the U.S. and globally to identify and resolve issues. Coordinate as needed with other divisions of Asset & Wealth Management. Provide legal support for special projects and cross-alternatives initiatives.
QUALIFICATIONS:
Minimum education and experience required: Bachelor's degree in Legal Studies, Law, or related field of study plus 6 years of experience in the job offered or as Assistant General Counsel, Legal Counsel, Lawyer/Attorney, or related occupation. The employer will alternatively accept a Juris Doctor (JD) in Legal Studies, Law, or related field of study plus 3 years of experience in the job offered or as Assistant General Counsel, Legal Counsel, Lawyer/Attorney, or related occupation.
Skills Required: This position requires three (3) years of experience with the following skills: providing legal support within a law firm or financial institution; drafting legal documents; negotiating contracts with stakeholders in order to resolve cross-disciplinary conflicts of interest; and regulatory schemes and regulators across North America and Europe. This position requires experience with the following skills: advising internal and external stakeholders on legal issues pertaining to investment management, including structuring, offering, and ongoing operations of private equity, credit and debt, real estate, and other closed-end funds transactions; organizing and offering investment funds products in a variety of jurisdictions; handling regulatory requirements, regulatory filings, and regulatory restrictions around fund listings and fund marketing; advising clients on registration, ongoing compliance, status questions, fund structuring, marketing issues, and strategic organizational change related to the regulatory environment globally. This position requires knowledge of the following specific regulations, laws, and guidance pertaining to investment advisory: the US Securities Act of 1933; the US Investment Advisers Act of 1940; the Investment Company Act of 1940; guidance from The U.S. Securities and Exchange Commission (SEC); guidance from The Office of the Comptroller of the Currency (OCC); guidance from European or offshore equivalent regulators, including The Financial Conduct Authority (FCA), The Cayman Islands Monetary Authority (CIMA), and The Commission de Surveillance du Secteur Financier (CSSF); The Alternative Investment Fund Managers Directive (AIFMD); and The Employee Retirement Income Security Act of 1974 (ERISA). This position requires the following license: either a state law license, or an application to the state bar association for Limited License as House Counsel within 90 days of hire (and that applicant otherwise meets the requirements for receiving such state license).

Full-Time. Salary: $272,418 - $275,000 per year.
