Airbus is looking for a Mergers & Acquisitions Senior Legal Counsel (f/m) to join our Legal Corporate Affairs department based in Toulouse, France.
Purpose of the job: this job is meant to impact Airbus’ major international and transversal projects and partnerships, which are all a critical part of the Airbus strategy toward its ambition to “pioneer a sustainable aerospace for a safe and united world”. This high-impact role is pivotal to shaping the future of Airbus’ group and to implementing Airbus’ long-term strategy.
Overall context: Airbus Legal M&A is active on a global basis and addresses all types of M&A transactions (acquisitions, divestments, venture or growth capital, joint-ventures …) for all the Airbus activities and divisions. This role implies to identify and mitigate risks, to ensure business integrity and to advise the senior management of Airbus.

Your challenges:

Draft and negotiate preliminary agreements and transaction documents (e.g., Memorandum of Understanding, Letter of Intent, …)

Manage and perform legal due diligence as well as manage the post-closing matters,

Mobilize, co-ordinate with or support, where necessary, other members of the legal department, especially with the antitrust and compliance teams

Monitor compliance with relevant laws and regulations (notably from a Foreign Direct Investment perspective),

Select and retain the external law firm(s) and manage this external legal support in a cost-efficient way and in line with internal priorities (which implies to coordinate with all relevant stakeholders of the project team like, for instance, M&A department, tax, finance, HR, insurance, real estate and business stakeholders),
This role will involve frequent travels for business and as such the M&A Senior Legal Counsel must be able to travel accordingly and, in some instances, on short notice.
Your boarding pass:

EU, US or UK qualification is prerequisite with specialisation on Business Law and/or Corporate Law,

Minimum of 5-year international M&A experience as a practicing lawyer,

Proven strong drafting, negotiating and communication skills,

Ability to interface and communicate effectively and impactfully with the transaction team and outside counsels, bankers and consultants,

Ability to provide top-level business-oriented guidance to Airbus top management in a concise and precise manner to enable the decision-making,

Ability to cope with a complex and constantly-developing business environment,

Ability to work in autonomy but also team-player, with willingness to contribute to the team and evolve in an empowering environment,

Ability to manage several projects at the same time (with effective prioritization and decision-making in this respect) and to work under strict deadlines in a fast-paced and dynamic environment,

A negotiation level in English is mandatory. French, German or Spanish would be an asset,
