Who We Are:
Vista Legal delivers full spectrum legal guidance to the Vista business, as well as customs and trade compliance support. We are a global team, with 16 team members located across the United States, Spain, United Kingdom, Canada, the Netherlands and Ukraine. Vista Legal strives to help Vista achieve its strategic and business objectives. To that end, we take pride in delivering creative, practical, and solution-oriented advice aimed at maximizing strategic and business outcomes and minimizing friction on business execution, all while keeping important compliance and risk mitigation considerations in proper focus. As a team, we are smart, passionate, and driven to contribute to Vista's success, while still keeping it relaxed, collaborative and fun along the way.
What You Will Do:
The ideal candidate will not necessarily have prior experience working in a corporate law department or law firm (although that would be a plus), but will bring with them a "can do" attitude, an eagerness to learn and willingness to take on more and more responsibility for working independently as their comfort levels grow. At the outset, as the successful candidate, you will work closely with Vista's GC and other Legal team leaders as you gain experience and build comfort and proficiency over time. The primary responsibilities of the Legal Operations Lead role are as follows:
- Project Managing and Administering the Legal Team's Technology Platforms and Tools. You will lead the implementation and ongoing administration of new technology platforms and tools for the Legal team, taking full ownership of project milestones and platform management, and will administer and oversee the Legal team's existing technology platforms and tools. In particular:
- Project Managing CLM Platform Implementation. As your first project management responsibility, you will be Vista's project manager on the implementation of a market-leading contract lifecycle management platform, independently overseeing the successful implementation and adoption of a market leading contract lifecycle management platform. By project managing the CLM platform implementation, you will quickly become Vista's ongoing domain expert on the workings and capabilities of Vista Legal's CLM platform.
- Additional Project Management Opportunities. Following the CLM platform implementation, we expect that additional project management opportunities will arise following completion of the CLM platform implementation.
- System administrator of tech platforms and tools managed by the Legal team. Within the Legal team, you will be the system administrator of the Legal team's legacy technology platforms and tools, including Zendesk, which the Legal team uses as its contract intake ticketing tool, and DocuSign, which is used across Vista for e-signatures. As part of this role, you will handle all dealings with the vendor "reps" and negotiate renewals with the vendors.
- Legal team point-person on company-managed tech platforms and tools. With regard to technology platforms and tools used by the Legal team that are managed centrally by the company, you will have primary responsibility for overseeing and managing the spaces, pages, folders, files, and tickets that belong to the Legal Team. These company-managed systems include Confluence (knowledge management platform) and Jira (support request ticketing tool), among others. As you gain experience with and increased knowledge about these platforms and tools, you will become the team's "go to" expert on how the team can best leverage the features and functions of these tools to optimize their capabilities, and you will take responsibility for building and maintaining some of the team's Confluence pages, where we provide legal guidance to our Vista business colleagues.
- Subsidiary Maintenance and Corporate Governance. You will take lead responsibility for corporate maintenance of the over 35 Cimpress subsidiary companies globally that are viewed as Vista subsidiaries. This involves working with our corporate services providers (currently Cogency Global) and outside counsel to ensure that required periodic corporate maintenance filings (such as annual reports, franchise tax filings, etc., but excluding tax filings and statutory financial statements) are made timely. This responsibility also involves coordination of required corporate governance documents (typically stockholder consents and directors' consents) as may be required from time to time (e.g., appointment of new directors), as well as coordination of power of attorneys where needed in appropriate circumstances. As part of accomplishing what needs to be done, you will work through relationships you forge with our corporate service providers, supporting law firms globally and key internal stakeholders.
- Subpoenas and Law Enforcement Information Requests. You will spearhead the Legal team's fulfillment of its obligations to handle subpoena and law enforcement information requests for Vista. You will independently triage newly-received subpoenas and information requests and select our approach for handling, depending on the nature of the subpoena or request received. Where internal records need to be produced, you will use Vista's systems for searching and recovering records and assemble the requested documents for production. You will draft Vista's written responses, with input if and when needed from the GC or another lawyer on the team.
- Vista Legal's Expense Budget. You will track and manage the Legal team's expense budget (excluding only compensation paid to other Vista Legal team members) throughout each fiscal year, including spend on outside law firms, service providers other than law firms, technology platforms and tools, subscriptions, and professional dues and memberships, and arrange and coordinate payment of these expenses as needed. In this capacity, you will work closely with our Finance partner on the budgeting and oversight of Legal's annual non-comp expense budget and ongoing spend.
The Legal Operations Lead role has evolved since it was first created so that the Legal Operations Lead can deliver the most value and impact to the Vista Legal team and Vista more generally. We expect the responsibilities of the role will continue to evolve in the coming months and years, and you will have lots of influence over what that continuing evolution will involve.
